These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Naboso Affiliate Program (the “Program”), operated by Naboso Technology, Inc. (“Naboso,” “we,” “us,” or “our”) through Refersion. By applying for or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to these Terms and our Privacy Policy.

1) Program Eligibility

• You must be at least 18 years old and operate a legitimate website, social media account, or business aligned with Naboso’s brand values.
  
• Naboso reserves the right to accept or reject any application at its sole discretion.
  
• Coupon, deal, or cashback sites are not eligible for participation.
  

2) Commissions

• Affiliates earn a 10% commission on the net value of qualifying sales generated via their unique tracking link.
  
• Commissions are calculated on the order subtotal (excluding taxes, shipping, discounts, and returns).
  
• Self-purchases, bulk orders, or coupon stacking are not commission-eligible.
  
• All commissions are paid in USD once the balance reaches a minimum of $50.
  
• Payments are issued monthly via Refersion’s approved payment method.
  
• Returned, refunded, or fraudulent transactions are deducted from commission totals.
  

3) Marketing Guidelines

To maintain brand integrity, affiliates must adhere to the following rules:

• Paid Search: You may not bid on “Naboso,” “Naboso insoles,” misspellings, or close variations on Google, Bing, or other search platforms. Generic terms (e.g., “sensory insoles”) are permitted.
  
• Domain Names: You may not register or use “Naboso” or confusingly similar marks in any domain or subdomain name.
  
• Coupon/Deal Sites: Not permitted in this program.
  
• Email Marketing: Allowed only with Naboso’s written approval. Must comply with CAN-SPAM (U.S.) and Spam Act (AU).
  
• SMS Marketing: Prohibited for affiliates.
  
• Influencers & Social Media: Allowed, provided posts include clear disclosures such as “#ad” or “#affiliate” per FTC and Australian ACCC guidance.
  
• Paid Social Ads: Allowed only with prior written approval. Do not use Naboso trademarks in account names or ad headlines.
  

4) Brand and Content Standards

• You must represent Naboso products accurately and avoid misleading or unverified claims.
  
• Do not create content suggesting medical treatment or diagnosis. Naboso is a proprioceptive wellness brand, not a medical device provider.
  
• Use only approved product images and copy available through the affiliate dashboard or official media kits.
  
• Do not disparage Naboso or engage in conduct that could harm its reputation.
  

5) Compliance & Disclosure

• Affiliates must comply with all applicable laws, including the U.S. Federal Trade Commission (FTC) Endorsement Guides and Australian consumer disclosure standards.
  
• All promotional content must clearly disclose the affiliate relationship (e.g., “As an affiliate, I may earn a commission from qualifying purchases”).
  

6) Intellectual Property

Naboso retains all rights to its trademarks, logos, designs, product names, and content. Affiliates receive a limited, non-exclusive, revocable license to use provided creative assets solely for participation in the Program. Unauthorized use is grounds for termination.

7) Termination

• Naboso may suspend or terminate participation at any time, for any reason, including breach of these Terms or inactivity.
  
• Upon termination, unpaid but approved commissions under the $50 threshold are forfeited.
  
• Affiliates must immediately remove all Naboso links, trademarks, and content upon termination.
  

8) Relationship of Parties

Participation in the Program does not create an employment, partnership, or agency relationship between you and Naboso. You are an independent contractor responsible for your own taxes and business operations.

9) Privacy

Your participation in the Program is subject to Naboso’s
Privacy Policy, which describes how we collect, use, and protect personal data, including affiliate payment and tracking information.

10) Disclaimer of Warranties

The Program and tracking platform are provided “as is.” Naboso disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11) Limitation of Liability

To the fullest extent permitted by law, Naboso shall not be liable for indirect, incidental, or consequential damages, loss of revenue, or data, arising from participation in the Program. Naboso’s total liability shall not exceed the total commissions paid to the affiliate during the previous six months.

12) Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Arizona, USA, without regard to its conflict of law principles. Any disputes shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.

• Tracking Data: Refersion cookies and tracking pixels record when a visitor clicks your referral link and completes a purchase. These cookies contain anonymous identifiers to attribute sales to your account.
  
• Device & Log Data: Our websites may automatically collect IP address, browser type, time zone, and related analytics data to ensure secure operation and detect fraud.

• To manage your participation in the Program and process commission payments.
  
• To track referrals, sales, and performance metrics via Refersion.

3) How We Share Information

4) Cookies and Tracking

Refersion uses cookies and similar technologies to attribute sales to affiliates. These cookies typically last up to 90 days and store a unique ID to link a customer’s purchase to your referral. You can delete or block cookies via your browser settings, but doing so may affect referral tracking.

5) Data Transfers and Security

We store and process affiliate data in the United States and may transfer information to other countries where we or our service providers operate. We use administrative, technical, and physical safeguards to protect your data, but no system is entirely secure.

6) Your Rights

• U.S. Residents: You may request access, correction, or deletion of your personal information or opt out of data sharing by emailing [email protected].
